Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Hi Joanna mobile application, website at https://hijoanna.app, and all related services (collectively, the "Service"), operated by Hi Joanna ("we", "our", or "us").

By downloading, installing, or using the Service, you confirm that you are at least 13 years of age (or 16 in the European Economic Area), that you have read and understood these Terms, and that you agree to be bound by them. If you do not agree, you must not use the Service.

Hi Joanna is an AI-powered personal assistant application that enables users to perform tasks by voice or text command, including but not limited to: email organisation and summarisation, restaurant and travel booking assistance, calendar management, general research, and task follow-through.

The Service uses artificial intelligence and large language model technology to generate responses and take actions on your behalf. The quality, accuracy, and availability of the Service may vary. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain the security of your account credentials and not share them with any third party;
• Notify us immediately at [email protected] if you suspect unauthorised access to your account;
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate your account if we reasonably believe that your account information is inaccurate, that you have violated these Terms, or that your use of the Service poses a risk to us, other users, or third parties.

The Service is offered on a freemium basis. The following plans are currently available:

All paid subscriptions are billed monthly in advance. Prices are displayed in US dollars and are subject to applicable taxes. We reserve the right to change subscription prices upon 30 days' notice. Continued use of the Service after a price change constitutes your acceptance of the new price.

Voice minute top-up packs are available as one-time purchases and are non-refundable once consumed. Unused top-up minutes do not carry over if you change or cancel your plan.

New users are eligible for a 7-day free trial. No credit card is required to start the free trial. At the end of the trial period, you will be prompted to select a paid plan to continue using the Service. If you do not select a plan, your access to paid features will be suspended, but your account and data will be retained for 30 days.

You may cancel your subscription at any time from within the app settings or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period; you will retain access to the Service until that date.

We do not offer refunds for partial billing periods, except where required by applicable law. If you believe you are entitled to a refund, please contact us within 14 days of the charge.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to engage in any illegal activity, including fraud, harassment, or the transmission of malware;
• Attempt to gain unauthorised access to any part of the Service or its underlying systems;
• Use the Service to generate, distribute, or store content that is defamatory, obscene, hateful, or otherwise objectionable;
• Reverse-engineer, decompile, or disassemble any part of the Service;
• Use automated tools (bots, scrapers) to access or interact with the Service in a manner that exceeds normal human usage;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Use the Service to send unsolicited communications (spam);
• Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to investigate and take appropriate action against any user who, in our sole discretion, violates these provisions, including suspending or terminating their account.

The Service uses artificial intelligence to generate responses, summaries, recommendations, and to take actions on your behalf. You acknowledge and agree that:

• AI-generated content may be inaccurate, incomplete, outdated, or inappropriate for your specific circumstances;
• The Service does not constitute professional advice of any kind, including legal, financial, medical, or travel advice;
• You are solely responsible for verifying any AI-generated output before acting on it;
• Any actions taken by Joanna on your behalf (e.g., making a restaurant booking) are done at your direction and you are responsible for reviewing and confirming those actions;
• We are not liable for any loss or damage arising from your reliance on AI-generated content.

By connecting your email account to the Service, you grant Hi Joanna permission to access, read, and process your email data solely for the purpose of fulfilling your requests. You represent and warrant that you have the right to grant this access and that doing so does not violate any third-party terms of service or applicable law.

You may revoke email access at any time from within the app settings. Revoking access will not affect your ability to use other features of the Service.

The Service, including its design, software, text, graphics, logos, and other content, is owned by or licensed to Hi Joanna and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal, non-commercial purposes.

You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, royalty-free licence to use, process, and store that content solely for the purpose of providing the Service to you.

The Service may integrate with or link to third-party services (e.g., email providers, booking platforms, mapping services). Your use of those third-party services is governed by their respective terms and privacy policies. We are not responsible for the content, practices, or availability of any third-party services.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HI JOANNA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

You agree to indemnify, defend, and hold harmless Hi Joanna and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Service.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Hi Joanna is incorporated, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in accordance with applicable arbitration rules.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date at the top of this page and, where appropriate, by in-app notification or email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
